Consignment Agreement

This Consignment Agreement (the “Agreement”) is made between Denver Grow Co, a Colorado limited liability company (“Denver Grow Co LLC,” “We,” “Us,” or “Our”) and the individual or entity (the “Consignor,” “You,” or “Your”) entering into this Agreement. By submitting your items for consignment with Denver Grow Co LLC, you agree to the terms and conditions outlined below, which govern your consignment relationship with us.

A. Consignment Process

You acknowledge that the items you submit for consignment will be subject to our review and acceptance criteria. Currently, we focus on high-quality children’s clothing and shoes for boys and girls, sizes newborn to 16. We may also accept other items at our discretion, such as shoes in new or like-new condition.

Once we accept your items, Denver Grow Co LLC will be responsible for the following tasks in order to promote and sell the items:

  • Resale market price evaluation.

  • Detailed descriptions, photography, and online posting.

  • Promotion through our website, social media channels (including live sales, story sales, and posts), shopping appointments, and in-person events.

  • Customer inquiries, secure packing, and shipping or delivery.

We reserve the right to select the selling channels, including but not limited to online sales, in-person events, or other sales methods we deem appropriate. Denver Grow Co LLC also reserves the right to determine whether your items are appropriate for consignment and whether they meet the quality standards outlined below.

B. Accepted Brands

We accept high-quality children’s clothing brands, including but not limited to:

  • Pink Chicken

  • Ralph Lauren

  • Patagonia

  • Stella McCartney

  • Bailey Boys

  • Magnolia Baby

  • Tea Collection

  • Hanna Andersson

  • Petit Bateau

  • UGG

  • Veja

We also accept other premium brands, such as Janie and Jack, Kyte, Quincy Mae, Smocked Clothing Companies, Lilly Pulitzer, Vineyard Vines, and more.

C. Non-Accepted Brands

In an effort to maintain consistent quality and pricing, we do not accept the following brands at this time:

  • Gap, H&M, Old Navy, Tommy Hilfiger, Nike, Adidas, Under Armour, Gymboree, etc.

  • Discount store brands or items found commonly at discount retailers such as Marshalls or TJMaxx.

  • Non-accepted items also include weighted sleep sacs, swaddle sacs, and items with significant wear, damage, or discoloration.

D. Pricing

All items consigned with Denver Grow Co LLC will be priced at our sole discretion, based on current fair market values. Items may be subject to markdowns after 60-90 days or as necessary to facilitate sales. We will discount items up to 20% during this time period, with further discounts possibly applied as appropriate.

E. Unlisted Items

Items that cannot be listed for sale due to damage, stains, holes, undesirable brands, or outdated styles will be donated. We will not notify you of items that are not accepted for sale, as the volume of items makes individual notifications impractical. Consignor agrees that unsellable items will be donated, and no return of such items will be provided.

F. Consignment Period and Donation Policy

The consignment period for your items will be a minimum of 6 to 12 months, although items may be listed for a longer period to cover applicable seasons. If items remain unsold at the end of the consignment period, they will either be returned or donated, based on your preference as indicated in the consignment agreement. You must notify us of your preference at the time of consignment.

  • If you choose to have items returned, a $20 fee will be charged for up to 20 items, to cover processing, storage, and shipping costs.

  • Failure to pick up or arrange for the return of unsold items within one week of receiving notice will result in the items being donated to charity partners.

G. Payouts

Every month, around the 1st to 3rd, we'll send you a detailed sales spreadsheet outlining your previous month's sales. As a consignor, you can choose to receive either 40% cash back from the final sale price of each item or 50% in store credit (Grow Co Bucks). Payouts will be processed via Venmo for cash back or credited to your account within 48 hours of receiving the sales spreadsheet. Please note that payouts will account for any applicable markdowns or discounts applied to the sale price.

H. Item Condition and Repair

Items must be in good to excellent condition when submitted for consignment. Any necessary repairs will be deducted from the Consignor’s payout. Minor repairs, such as button replacements, may be considered for high-demand items, but we reserve the right to refuse such repairs for items that do not meet our quality standards.

I. Cancellation of Consignment

You may cancel this Agreement and request the return of your items at any time, subject to the following conditions:

  • A $50 cancellation fee will be charged for items returned prior to the end of the consignment period.

  • A 7-day notice is required for the return of items after cancellation.

  • Items returned prior to the end of the consignment period will be subject to shipping fees at your cost.

J. Limitation of Liability

Denver Grow Co LLC takes all reasonable precautions to protect your items while they are in our possession. However, we are not liable for any loss, theft, fire, flood, natural disaster, or other events beyond our control that may result in damage to or the loss of your items. This includes damage caused by customers, shipping errors, natural disasters, or any other incidents.

K. Legal Ownership of Items

You confirm and represent that you are the lawful owner of all items consigned to Denver Grow Co LLC, or that you are authorized by the rightful owner(s) to sell the items on their behalf. You agree to indemnify and hold Denver Grow Co LLC harmless from any claims, damages, fines, penalties, or judgments arising from any dispute regarding the ownership of the consigned items.

L. Acceptance of Terms and Conditions

By submitting items for consignment, you certify that you have read and understood this Agreement, and agree to be bound by its terms. You also acknowledge that you have reviewed the Terms and Conditions located on our website (www.denvergrowco.com) and incorporated by reference herein.
